The terms governing use of the Wise Building solution.

Preamble — Definitions

In these general terms of use, the terms below have the following meanings:

  • Administrator : the natural person authorized by the Client to use the web platform with specific permissions.
  • Application : the white-label mobile application, offering features and services selected by the Client and made available to its Users. The Application is hosted by Wise Building on behalf of the Client. The Client’s Users access the Solution after downloading the Client’s application from the compatible iOS and Android stores.
  • Website : the application accessible over the web and through a browser. The website also allows Administrators to manage and administer the Application. Wise Building makes the website available to the Client, and it will be configured solely for the Administrators designated by the Client, whose full list will have been provided to Wise Building.
  • Client : the company that has entered into a license agreement with Wise Building in order to operate the Solution developed and hosted by Wise Building.
  • Account : the area of the Solution reserved for a User and tailored to their profile. An Account may cover several companies or sites, with different Permissions and access to different modules depending on the company and site. Accounts allow Employees and Administrators to access the features and services offered to them, according to their Permissions profile.
  • Data : the information, publications and, generally, all visual, textual and audio data, photographs, videos and drawings originating from the Client (and more broadly from Users) and passing through the Solution.
  • Permissions : the rights to view, edit, approve and delete content, or to use certain services or features of the Solution, granted to each User according to their Permissions profile.
  • Occupying Company : the company located on the Client’s Site and having access to the Solution.
  • Employee : the natural person authorized by the Administrator to use the mobile Application.
  • Service Provider : a third-party company offering Provider Services through the Solution to Users who wish to use them. The list of Service Providers is available here.
  • Provider Service : a set of services offered to Users that are not developed by Wise Building or the Client, such as applications for geolocation, smart locker management, site and space access management, or ordering cleaning or concierge services. These services are or have been the subject of a contract between the Service Provider and the Client, and/or the Occupying Company, and/or the User.
  • Site : the buildings managed by the Client or to which the Client has a right of access.
  • Solution : the Application and the web platform.
  • User : an Administrator or an Employee.
  • Wise Building : the company that publishes and operates the Wise Building Solution, a simplified joint-stock company (SAS) with share capital of €13,359.32, registered with the Paris Trade and Companies Register under number 827 498 866, whose registered office is at 57 rue de Châteaudun, 75009 Paris.

1. PURPOSE

These General Terms of Use (the “Terms”) govern relations between the Client, Wise Building and Users who wish to use the services offered by the Solution and, where applicable, the Provider Services.

Through the Solution:

  • Administrators may interact with Employees or other Administrators in the course of managing the Site professionally.
  • Employees may interact with one another and with the Site’s Administrator(s). Employees also benefit from (i) a set of features simplifying their day-to-day life on the Site, and (ii) access to the Provider Services selected by the Client.

2. ACCEPTANCE

By accessing and using the Solution, every User declares that they have read these General Terms of Use and expressly accept them without reservation or amendment of any kind, such acceptance being given on registration by ticking the box “I acknowledge that I have read and accept the General Terms of Use of the Solution”. These Terms are therefore fully enforceable against Users.

3. PURPOSE OF THE SERVICES

The Solution allows Users:

  • to be informed of what is happening at their workplace (news, events, offers and services available on the Site, incidents, and so on);
  • to simplify their working day through the Application’s features (space booking, feedback, user guides, maps, badge, and so on) and, where applicable, the Provider Services;
  • to encourage interaction within the Site (directory, individual and group messaging).

The Solution also allows the Client to manage its Site effectively, by viewing Site activity in real time, obtaining statistics on the use of features and Provider Services, and analyzing and comparing the Site’s technical data with data arising from use of the Solution.

4. CONDITIONS OF ACCESS TO THE SOLUTION

The Solution is reserved exclusively for Users holding an active Account.

An Employee Account may be created in two ways:

  • following an invitation from an Administrator: activation of the account is conditional on the invited Employee choosing a password and accepting these General Terms of Use;
  • after completing the registration form in the Application: activation of the account is conditional on approval by an Administrator and acceptance of these General Terms of Use by the Employee.

An Administrator Account may only be created with the agreement of the Client and the Occupying Company. Activation of the account is conditional on the invited Administrator choosing a password and accepting these General Terms of Use.

The Client may authorize Wise Building to issue invitations to Administrators and Employees in its name and on its behalf.

5. ACCESS TO THE SOLUTION

5.1 Access to the Application

Access to the Application is by way of the internet and a mobile phone meeting the compatibility and security levels required for such access. All costs relating to accessing the Application, whether hardware, software or internet access charges, are borne solely by the User.

Accordingly, as a User you acknowledge:

  • that you have the skills and means necessary to access and use the Application;
  • that you have checked that your IT setup contains no viruses and is in full working order;
  • that you have been informed that the Application is in principle accessible 24 hours a day, 7 days a week, except during maintenance periods, in cases of force majeure, or where there are IT, technical or telecommunications network difficulties.

5.2 Access to the web platform

Access to the website is by way of the internet and a computer, tablet and/or mobile phone meeting the compatibility and security levels required for such access. All costs relating to accessing the website, whether hardware, software or internet access charges, are borne solely by the Client.

Accordingly, as a user you acknowledge:

  • that you have the skills and means necessary to access and use the web platform (compatible browsers: the current, n-1 and n-2 versions of Chrome, Safari, Firefox, Internet Explorer and others);
  • that you have checked that your IT setup contains no viruses and is in full working order;
  • that you have been informed that the website is in principle accessible 24 hours a day, 7 days a week, except during maintenance periods, in cases of force majeure, or where there are IT, technical or telecommunications network difficulties.

5.3 Liability

Neither the Client nor Wise Building may be held liable for matters outside their control, nor for damage that may be suffered by the User’s technical environment, in particular their computers, software, network equipment and any other hardware used to access or use the Solution and/or the information it contains.

5.4 Technical support

Users may contact the support team and obtain technical assistance by emailing: support@wisebuilding.fr, Monday through Friday from 10 a.m. to 6 p.m., excluding French public holidays.

6. PASSWORD & SECURITY

Access to the Solution is reserved for Users. Users must enter their username (their email address) and password to access the Solution.

The password is personal and confidential. The User is solely responsible for it. They undertake not to disclose it to third parties in any form, and to take all necessary precautions to prevent third parties gaining access to it. If the password is forgotten, the User may choose a new one by clicking “Forgotten password”.

The User undertakes to notify the support team without delay if their password is lost or stolen, by sending an email to support@wisebuilding.fr.

Failing that, and unless proven otherwise, any connection or transmission of instructions or data made using the password shall be deemed to originate from the User and to be their sole responsibility.

Users may at any time request cancellation of their Account by emailing support@wisebuilding.fr.

7. DESCRIPTION OF THE SOLUTION’S SERVICES

Through the Solution, Users may access the Application features listed below and choose which of them to use. Administrators may access the back-office features listed below and likewise choose which of them to use.

Existing features may therefore change, and new ones may appear. Wise Building may also integrate Provider Services, extending the list of available features. Some features are specific to particular types of Site (office, campus).

7.1 Features offered in the Application

It is for the Client to decide which of these features to subscribe to.

Users may change their preferences (notifications, profile and so on). Each User is assigned to a group or sub-group defining their Permissions.

Depending on their Permissions, a User may have broader or narrower scope to view and to act.

7.1.1 News

Users may view news from their workplace (the “News”): communications, information, offers, announcements, works, events, tweets and so on. News items are ordered by date and sorted by keyword. Display of a News item may be limited to the Users of a given Site and/or Occupying Company.

7.1.2 Services

Users have access to information on the services available (including Provider Services) at and around their workplace: access, contact details, opening hours, prices, menus, offerings, schedules, orders and so on.

Provider Services integrated into the Solution allow services to be booked within the Application, and the available balance and real-time service availability to be viewed.

7.1.3 Booking

Users may filter and book a space (meeting room, desk, parking space, connected space and so on) using the following criteria:

  • Day
  • Time
  • Capacity

Users may view and search the spaces available for booking, by floor and/or space type, and by scanning a QR code.

Users may also add participants to their invitation (for spaces with a capacity greater than one), or order a service available at the Site and/or within their Occupying Company.

Bookings made may be transmitted automatically to the booking software used at the Site and/or within the Occupying Company.

Forthcoming or current bookings may be viewed, amended and canceled, and Users may configure reminder notifications.

7.1.4 Social

Users have access to the Site directory and may view another User’s profile (surname, first name, job title, company, site, building, landline, mobile, email). Note that the display of each User’s profile is configurable under Preferences.

Users may send messages from the directory, either in a private conversation or in a private group conversation.

7.1.5 User guides

Users have access to the user guides for the equipment installed at the Site.

Users may report an incident, specifying its type, criticality and location. Users may track the incidents they have reported from their Profile.

7.1.6 Maps

Users have access to the maps of their Site. What is displayed may vary according to the User’s access Permissions.

7.1.7 Safety

Users have access to the safety instructions for the Site or building, and to emergency telephone numbers.

7.1.8 Notifications

Users have access to all notifications received in connection with their use of the Application’s features or of the Provider Services.

7.1.9 Profile

Users have access to their profile information (surname, first name, job title, company, site, building, landline, mobile, email). Users may change their profile photograph.

Users may access their badge information, where that feature is available.

Under Preferences, Users may choose to show or hide certain profile information.

Under Incidents, Users may view the incidents they have reported: the date reported, the nature, the severity, the comment, the location and the status.

Users also have access to the applicable Terms, the Legal Notice, and the contact details for reporting abuse or emailing the support team.

7.2 Features offered to administrators through the website

Access to certain features may be limited to the Administrators designated by the Client. Administrators’ Permissions may differ according to their roles at the Site and/or within the Occupying Company.

An Administrator may have broader or narrower scope to view and to act, depending on the group or sub-group to which they belong.

7.2.1 Dashboards

Administrators may view general and detailed Application statistics, by Site, by Occupying Company and by period. Dashboards detail the use of each feature and of each Provider Service, and may also incorporate the Site’s technical data.

7.2.2 Features

Administrators may manage the features and services available in the Application:

  • view, create and publish or unpublish News items;
  • view, add, edit and remove services;
  • view, add, edit and delete user guides;
  • view and manage incidents reported by Users;
  • view and manage space booking requests;
  • view, add and edit bookable spaces.

7.2.3 Configuration

Administrators may view, add and edit a Site, the buildings within it, the Occupying Companies and the Service Providers.

Administrators may configure the Data of the Site and/or the Occupying Companies (maps, safety instructions, contacts, documents and so on), and may access the Solution’s directory.

7.2.4 Organization

Administrators may view and manage the list of Users. User management may be automated by interfacing with the Client’s dynamic directory (such as Azure Directory).

Administrators may assign Users to a Permissions group or sub-group.

8. Intellectual property – Free-riding – Protection of the Solution and its databases

8.1 Intellectual property

All intellectual property rights (including copyright, neighboring rights, trade mark rights and database producers’ rights) covering both the structure and the contents of the Solution — in particular images, sounds, videos, photographs, logos, trade marks, graphic, textual and visual elements, tools, software, documents and data (together, the “Elements”) — are protected by the applicable intellectual and/or industrial property laws and by other exclusive rights, in particular the sui generis right of the database producer.

Users may not copy, modify, create derivative works from, reverse engineer or disassemble, or otherwise attempt to discover the source code of, nor sell, assign, sub-license or in any way transfer any right attaching to the Elements.

Every User of the Solution undertakes in particular not to:

  • use or query the Solution on behalf of or for the benefit of a third party;
  • extract, whether for commercial purposes or otherwise, all or part of the Data held on the Solution;
  • incorporate all or part of the Solution’s content into a third-party site or application, whether for commercial purposes or otherwise;
  • reproduce on any other medium, whether for commercial purposes or otherwise, all or part of the Data held on the Solution in a way that would allow all or part of the original files to be reconstituted;
  • use a robot, in particular a crawler or spider, a website search or retrieval application, or any other means of retrieving or indexing all or part of the Solution’s content, save with the express prior authorization of Wise Building.

Any reproduction, representation, distribution or redistribution, in whole or in part, of the Solution’s content on any medium or by any process, for purposes other than those set out herein, may constitute infringement, unfair competition or free-riding, or infringe third parties’ image rights, and may give rise to civil and criminal proceedings by the persons or rights holders concerned.

8.2 Hyperlinks

The Solution may contain hyperlinks to content originating from third parties or to websites operated by third parties (including Service Providers). These links are provided for information only. Neither the Client nor Wise Building is responsible for the quality or accuracy of that content or those websites. The User waives any claim or action against Wise Building and the Client in respect of damage that may result from using those sites or the services they offer. The decision to follow such links is entirely the User’s responsibility.

No hyperlink may be created to the Solution without the express prior consent of Wise Building. Any individual or legal entity wishing to create a hyperlink from their own site to the Solution, on any medium, must first contact Wise Building by email at the following address support@wisebuilding.fr. Silence on the part of Wise Building shall be construed as a refusal.

8.3 Content of News items

Users who publish News items on the Solution are responsible for their content. By publishing a News item on the Solution, the User grants Wise Building and the Client a non-exclusive, transferable, sub-licensable, royalty-free, worldwide right to exploit (i) all News content, in particular photographs, texts, videos, illustrations, trade marks, logos and titles (the “Content”), as and when published on the Solution, and (ii) a license over all intellectual property rights attaching to the Content, in particular copyright in the elements used in the News item, such as photographs, texts, videos, drawings, illustrations and audio elements, for the full legal term of those intellectual property rights and worldwide.

The rights so granted include the right to reproduce, represent, distribute, adapt, modify, create derivative works from and translate all or part of the Content, by any process, in any form and on any medium (digital, print and others) known or unknown at the date hereof, in connection with the Solution’s services, whether for commercial purposes or otherwise including advertising, and in connection with distribution on the social networks where Wise Building is or will be present, in particular its Twitter and LinkedIn pages.

In particular, photographs from News items may be reproduced and incorporated into advertising formats displayed on the Solution, solely in connection with the published News item.

A User who publishes a News item on the Solution consents to that item and its Content being reproduced on social networks, in particular Twitter and LinkedIn. The User accordingly confirms that they have read and accept the general terms of use of Twitter and LinkedIn, in particular as regards the reuse of Content and personal data.

9. Protection of personal data – technical data

9.1 Protection of personal data

The Client (as controller) and Wise Building (as processor) undertake to comply with French Act No. 78-17 of 6 January 1978 on information technology, data files and civil liberties (the “French Data Protection Act”), in its latest version in force, and with General Data Protection Regulation (EU) 2016/679 (the “Applicable Data Protection Law”) when processing Users’ personal data, solely for the purpose of providing the services offered by the Solution.

Wise Building undertakes not to use, exploit or disclose to any unauthorized third party, whether for consideration or free of charge, any User data for purposes other than responding to Users’ requests in connection with the services offered by the Solution (including the Provider Services), in all cases in accordance with the instructions received from the Client.

What personal data is collected?

User: first name, surname, email, password, Site(s) and building(s) of attachment, floor, zone and workspace, Occupying Company or Service Provider of attachment, job title, photograph and all profile-related documents. Depending on the type of building, the office, department, door, school, course of study, qualification or areas of interest may also be collected. Finally, the billing address may be collected once a payment-related module is activated. Technical data is also collected (for example: connection logs, session identifiers, IP addresses, browsing or device information, application events, cookies and other similar trackers).

For what purposes is this data used?

The personal data collected may be used for the purposes of managing operations carried out on the Solution, in particular to:

  • manage and approve News items;
  • publish and track News items;
  • manage and approve services (including Provider Services);
  • manage and approve space booking requests;
  • send response forms;
  • send information about the Solution;
  • send commercial proposals following a User request;
  • send satisfaction surveys;
  • produce anonymized statistics to be supplied to Administrators by Wise Building;
  • manage tracking for the purpose of analyzing how our features are used.
  • process personal data for security or technical monitoring purposes, in order to ensure the protection, stability and performance of the Solution.

Who receives Users’ data?

The recipients of Users’ personal data are authorized staff of the Client and of Wise Building, together with the Occupying Companies (in respect only of data relating to Users attached to that Occupying Company) and the Service Providers (in respect only of data relating to Users wishing to use a Provider Service). Wise Building does not share User data with unauthorized third parties.

The Client and/or Wise Building may disclose Users’ personal data in response to requests from courts or tribunals, governmental or law enforcement bodies, or where necessary or prudent in order to comply with applicable laws, court orders or decisions, or governmental regulations, and at the request of a judicial or administrative authority.

What security measures are in place?

Wise Building and the Client have put in place reasonable security procedures and policies to protect personal data against misuse, loss, alteration or unauthorized destruction. Despite all the efforts made by Wise Building and the Client, absolute protection against every threat cannot be guaranteed. We endeavor to ensure that access to Users’ personal data is limited to those who need to know it. Those with access to the data are required to treat it as confidential.

We ensure that personal data is retained only for as long as the Account is active, and for up to three (3) months after its deletion by an Employee, an Administrator or Wise Building, or for up to three (3) months after those persons have requested erasure of their data.

The server used by Wise Building is hosted by AWS, located in Paris. These services provide multiple levels of replication and security in order to ensure maximum availability and a strong guarantee of data protection.

This includes:

  • redundant servers for the API and the web interface;
  • secure protocols (SSL / TLS) across the API, the web interface and all communication with third-party systems;
  • all passwords are encrypted on the servers and in the databases;
  • the operating systems used on the servers are regularly updated with the latest security patches;
  • external monitoring of the service is in place through dedicated tools.

Access to the source code and to personal data is restricted to those of our employees or partners who need it in order to operate, develop or monitor our service. Those persons are contractually bound to keep such data confidential and are subject to disciplinary sanctions should that confidentiality be breached.

How to exercise your rights

In accordance with applicable data protection law, Users have at all times a right to object, and rights of access, rectification, portability and erasure, as well as the right to object to the processing of data concerning them.

Users may exercise these rights by contacting the Client’s privacy contact point, or by sending an email to the following address: support@wisebuilding.fr.

9.2 Collection and use of personal data

Certain Service Providers may place cookies on the Solution. Wise Building permits certain Service Providers to store cookies, for example in order to integrate features or modules of their own provider applications into the Solution. Neither Wise Building nor the Client is responsible for cookies stored by those Service Providers, nor for their use of the data so collected. To learn more about cookies and about how the Service Providers manage the personal data they collect, please consult the cookie policy of the Provider Services listed below. Note that these providers comply with the European General Data Protection Regulation.

Provider Services are offered independently by the Service Providers, under their sole responsibility. Wise Building may therefore not be held liable for the content of the Provider Services accessible on the Solution, nor for any offers, information consulted or transactions carried out through those Provider Services, the Service Providers alone being party to a contractual relationship with the User or the Client.

Accordingly, any User accessing Provider Services through the Solution shall be subject exclusively to the specific terms of use and/or sale of those Services offered by the Service Providers. Wise Building provides no service and no warranty in respect of the Provider Services used by Users and/or the advertising elements referred to above. Wise Building therefore disclaims all liability should the Provider Services, or content and advertising supplied by third parties, contravene applicable legal or regulatory provisions.

Wise Building will nonetheless use its best efforts to forward promptly to the Service Providers and/or the third parties concerned any questions or complaints from Users relating to those services. So that Wise Building can identify the subject of the request and the Service Provider concerned, Users should take care to include precise information with their request.

9.3 Wise Building’s processing and use of technical data

When the Solution is accessed, the technical data that may be recorded in connection with access to or use of the Solution comprises the User’s Internet Protocol (IP) address and information about the User’s configuration (machine or device type, browser and so on) and browsing (date, time, pages viewed, errors encountered and so on).

That information may be stored on the hard drive of the User’s device, through their browser software when an online service is accessed, subject to their choices, in a dedicated area of the disk. Wise Building processes this technical data entirely anonymously, linking it to no information capable of identifying the User, and does not pass it to third parties.

Depending on their category, cookies are used for the following purposes:

Functional cookies in particular make it possible:

  • to adapt how the Solution is presented to the display preferences of the User’s device (language, screen resolution, operating system and so on), according to the display or playback hardware and software the device contains;
  • to improve the user experience by pre-filling certain fields in our forms.

Statistical (or analytics) cookies help us better understand the Solution and improve our services by producing statistics on traffic and usage (sections and content visited, journeys and so on). To that end, Google Analytics and Firebase supply data through third-party cookies. The following link sets out https://marketingplatform.google.com/about/analytics/terms/fr/ Google Analytics’ policy on the collection, management and processing of the data gathered.

Wise Building shall under no circumstances be held liable for any malfunction relating to Google Analytics or Firebase. Furthermore, every User of the Solution undertakes in particular not to extract, whether for commercial purposes or otherwise, all or part of the statistics held on the Solution.

Third-party cookies: when the User visits the Solution, certain cookies are stored not by Wise Building but by partner third parties, for the purpose of analyzing the Solution’s behavior and the User’s use of it.

It is important to note that any settings the User may apply are liable to alter their browsing on the internet and their conditions of access to certain services that require the use of cookies.

If the User refuses to allow cookies to be stored on their device, or deletes those already stored, they will no longer benefit from a number of features that may be necessary to navigate certain areas of the Solution.

10. Exclusion of Wise Building’s liability and warranties

10.1 The User’s responsibility

The User warrants that they hold all rights (in particular intellectual property rights), or have obtained all authorizations, necessary to publish a News item and, more generally, the content they publish on the Solution.

The User warrants that the News item and, more generally, the content they publish on the Solution contravenes no applicable regulation (in particular those relating to advertising, competition, sales promotion, use of the French language, use of personal data, or the prohibition on marketing certain goods or services), infringes no third-party right (in particular intellectual property and personality rights), and contains no message that is defamatory or harmful to third parties.

The User accordingly undertakes that the News item and, more generally, the content they publish on the Solution shall contain:

  • no imprecise, false, untruthful or misleading information liable to mislead Users;
  • no defamatory, disparaging or slanderous statement, nor any statement liable to harm the interests and/or image of the Client, Wise Building or any third party;
  • no content infringing third parties’ intellectual property rights, nor content that is obscene, involves child abuse, is discriminatory, or incites violence or racial, religious or ethnic hatred;
  • The Employee undertakes to use the services offered for non-professional and non-commercial purposes. All advertising and sponsorship messages are prohibited.

For their part, the Administrator:

  • declares on their honor that the News items and, more generally, the content they publish on the Solution are accurate and truthful;
  • declares that their activity is carried on in compliance with the legislation and regulations applicable to their profession, and expressly undertakes to comply with all applicable laws and regulations.

The Administrator acknowledges and accepts that, for technical reasons, publication of a News item may be delayed and may not be simultaneous with its approval.

The Administrator declares that they are aware of the extent to which the Solution is distributed, that they have taken every precaution to comply with the law in force in the places where it is received, and that they release Wise Building from all liability in that respect.

In that context, the Administrator declares and acknowledges that they are solely responsible for the content of the News items they publish and make available to Users, and for any document or information they send to Users.

Accordingly, the Administrator releases Wise Building, its subcontractors and suppliers from all liability, indemnifies them against any claim or action relating to the News item that may be brought against them by any third party, and shall bear all damages, costs and expenses to which they may be ordered, or which are provided for against them in a settlement agreement signed with that third party, without prejudice to any damages Wise Building, its subcontractors and suppliers may claim on account of the Administrator’s wrongful acts.

In submitting any News item, each Administrator acknowledges and accepts that Wise Building (and, where applicable, the Client) may at any time delete or refuse, without compensation or any right to reimbursement of sums incurred by the Administrator, any News item that is contrary to French law or to the publication rules set out in particular in these Terms, and/or liable to infringe third-party rights.

If a News item is refused before publication by Wise Building (and, where applicable, the Client), the Administrator will be informed by email sent to the address given in the Account.

The User further undertakes that their Employee Account and/or Administrator Account shall contain:

  • no false and/or untruthful information;
  • no information infringing a third party’s rights.

In that context, the Account holder declares and acknowledges that they are solely responsible for the information entered when creating their Account.

In creating an Account, each holder acknowledges and accepts that Wise Building may at any time delete, without compensation or any right to reimbursement of sums incurred by the User, an account that is contrary to French law and/or to the publication rules set by Wise Building and set out in particular in these Terms.

10.2 Wise Building’s liability and obligations

In its capacity as a hosting provider, Wise Building is subject to the limited liability regime laid down in Article 6.I.2 et seq. of French Act No. 2004-575 of 21 June 2004 on confidence in the digital economy.

Wise Building may therefore under no circumstances be held liable for the content of News items or, more generally, for content published by Users, and gives no warranty, express or implied, in that respect.

Wise Building is a third party to correspondence and relations between Users and accordingly excludes all liability in that respect.

10.3 Limitation of liability

Wise Building and the Client endeavor to keep the Solution available and in good working order at all times, and to allow continuous access to the Solution and the Provider Services. However, Wise Building and the Client cannot guarantee the permanent accessibility and proper functioning of the Solution and its Provider Services. Wise Building nonetheless undertakes to use all reasonable efforts to limit any such unavailability or malfunction.

Neither Wise Building nor the Client may be held liable if Users are unable to access all or part of the Solution and/or the Provider Services owing to any technical fault or problem relating, without limitation, to: internet network congestion, failure of internet service providers, human or electrical error, any malicious intervention, any software or hardware malfunction, and/or an event of force majeure.

Wise Building and the Client disclaim all liability in the event of:

  • interruptions, outages, modifications or malfunctions of the Solution, whatever the communication medium used and whatever their origin or source;
  • loss of data or information stored by Wise Building. It is the Users’ responsibility to take all necessary precautions to keep copies of the News items and content they publish on the Solution;
  • temporary inability to access the Solution owing to technical problems, whatever their origin or source;
  • direct or indirect damage of any nature caused to the User arising from the content of News items and/or from access to, management, use, operation, malfunction and/or interruption of the Solution;
  • abnormal use or unlawful exploitation of the Solution by any User;
  • cyber attack or hacking, or the temporary or permanent loss, removal or prohibition, for whatever reason, of access to the internet.

Wise Building and the Client may only incur liability for direct damage suffered by the User resulting from a breach of their contractual obligations as defined herein. The User therefore waives any claim against Wise Building and the Client, on any basis whatsoever, for indirect damage, including loss of profit, loss of opportunity, commercial or financial loss, increased overheads, or losses originating in or resulting from performance of these Terms.

Each User is solely responsible for damage caused to third parties and for the consequences of any claims or actions that may result. The User further waives any recourse against Wise Building and the Client in the event of proceedings brought against them by a third party on account of the unlawful use and/or exploitation of the Solution, in the event that a User loses their password, or in the event of identity theft.

11. Moderation of information and News items

Wise Building or the Client reserve the right to delete, without notice, compensation or any right to reimbursement, any News item that does not comply with the Solution’s publication rules and/or is liable to infringe a third party’s rights.

12. Abusive content

Under Article 6 of the French Act on Confidence in the Digital Economy (LCEN), Wise Building reserves the right to remove immediately any content published by a User on the Solution that it considers non-compliant or unlawful. Publishing such content is moreover treated as non-compliant use and may give rise to the temporary or permanent suspension, blocking or deletion of the Account of the User concerned.

It is each User’s responsibility to comply with French law, including but not limited to the rules on intellectual property rights and on defamatory and insulting statements, as defined by Article 29 of the Act of 29 July 1881 and all subsequent amendments thereto.

Abusive content includes, but is not limited to, the following:

  • content constituting defamation, violence, physical or psychological threat, or insulting, racist or sexist statements; content passing judgement on culture, values, religion or sexual orientation; content contrary to public order or public decency; or content glorifying crimes of any kind;
  • content of a commercial, promotional or advertising nature;
  • publication of any private conversation between members;
  • content harming Wise Building and its teams, Client(s), Service Provider(s), suppliers or shareholders, or their reputation.

Users may report abusive content by sending us a message at the email address support@wisebuilding.fr.

13. Amendment of these Terms

Wise Building develops the characteristics and features of the Solution, the Application and the Provider Services in order to maintain their operation and quality.

Wise Building may unilaterally amend these Terms, in particular in order to reflect changes in the features of the Solution or of the Provider Services integrated into it, or legal, case-law, editorial and/or technical developments.

Where these Terms are amended, Wise Building sends Users a notification before the amendments take effect. Users may object to the new version of the Terms within 30 days of receiving that notification. At the end of that period, the amendments shall be deemed accepted. A User’s refusal of the amendments terminates the contract between that User and Wise Building, and the User must then immediately stop using the Solution and the Application.

14. Miscellaneous provisions

Should any part of these Terms prove unlawful, invalid or unenforceable for any reason, the provisions in question shall be deemed not to have been written, without affecting the validity of the remaining provisions, which shall continue to apply between Users and Wise Building.

These Terms are governed by French law.

Any dispute and/or difficulty of interpretation or performance of these general terms shall fall within the jurisdiction of the competent courts of Paris.
